Terms of Service and End-User License Agreement (ToS / EULA)

These Terms of Service (hereinafter "Terms") constitute a legally binding agreement between Muhammad Waheed Samir (doing business as Nilotalk, hereinafter the "Vendor," "We," or "Us") and you, the purchaser of the software template (hereinafter the "Buyer," "Customer," or "You").

Please read these Terms carefully before purchasing, installing, and using the Nilotalk App template.

1. Acceptance of Terms and Key Definitions

1.1. Acceptance: By purchasing, downloading, installing, or using the Nilotalk App template, you agree to be bound by these Terms.

1.2. Key Definitions:

  • Template/Software: Refers to the Nilotalk App source code and accompanying files.
  • Buyer/Customer: The individual or entity who purchases a license for the Template.
  • License Key: The unique key provided upon purchase, required to activate and use the Template on a single authorized domain.

2. License Grant

We grant you a non-exclusive, non-transferable license to use the Template under the following conditions:

  • 2.1. Single Domain License: The license grants you the right to install and operate the Template on **one single production domain**.
  • 2.2. Development/Testing: You may install copies on local machines (localhost) or subdomains solely for development and testing purposes, provided they are not publicly accessible for production use.
  • 2.3. No Redistribution: You may **not** sell, sublicense, distribute, or transfer the Template, or any copies thereof, to any third party.
  • 2.4. Modification: You are permitted to modify the source code to suit your needs, but any derivative works remain subject to the terms of this license.

3. Payment and Refund Fees (Payhip)

3.1. Payment Processor (Payhip): All payments and financial transactions for the Nilotalk App product are processed securely by our partner, **Payhip**, which supports payment methods including **Credit Cards and PayPal**.

3.2. Refund Policy: All fees paid for the purchase of the license are subject to the Refund Policy published on our website, which specifies a refund period not exceeding 14 days from the date of purchase.

3.3. Disputes: Any disputes related to payment or refunds are governed by our Terms and the applicable Refund Policy.

4. Self-Hosting and Data Disclaimer

By purchasing the Template, you acknowledge and agree to the following responsibilities regarding self-hosting:

  • 4.1. Buyer Responsibility: You are solely responsible for the installation, operation, maintenance, security, and hosting of the Template on your own servers.
  • 4.2. Data Compliance: You are responsible for complying with all applicable laws and regulations (including data privacy laws like GDPR or CCPA) regarding the data you collect and process from your end-users.
  • 4.3. Data Control: The Vendor has **no access to or control over** any user data, messages, or content stored on your self-hosted instance.

5. Technical Support and Updates

5.1. Support Scope: Technical support is provided for defects or bugs within the original Template code. Support does not cover general setup, server configuration, or custom modifications made by the Buyer.

5.2. Updates: The Vendor may provide updates to the Template from time to time, but is under no obligation to do so. Access to updates may require a separate, active support agreement or subscription.

6. Termination of License

6.1. Grounds for Termination: This license will terminate immediately and without notice if the Buyer:

  • Violates any material term of this Agreement (e.g., unauthorized redistribution).
  • Requests a refund that is approved.
  • Fails to comply with the single domain restriction.

6.2. Effects of Termination: Upon termination, the Buyer must immediately cease all use of the Template and remove all copies of the source code from their servers and devices. The Buyer will not be eligible for any refund of fees paid (unless termination was a result of an approved refund request).
